Terms of Service

1. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for your credentials, users, roles, and all activity under your account and any sub-accounts.
• Keep your account information accurate and notify us immediately at sales@makebox.ai of any unauthorized use.

2. Subscriptions, Trials & Billing

• Access to the Service is subscription-based unless stated otherwise. Prices are shown at checkout or on the pricing page.
• Trials convert to paid subscriptions unless canceled before the trial period ends.
• Fees are billed in advance and are non-refundable except where required by law or expressly stated by us.
• Taxes, telecom fees, carrier surcharges, and pass-through costs may apply.

Chrome Extension (MakeBox Pro)

• Starter plan: $29.99 / month
• Pro plan: $49.99 / month

CRM Platform

• Basic: $99/month · Pro: $299/month · Agency: $699/month
• A 14-day free trial is available on all plans. No charge before the trial ends.

Consulting Services

• Hourly work billed at $45/hour, invoiced per session or weekly.
• Project-based work billed per milestone as agreed in a written project scope. Initial scoping call is free; pricing is locked after scope agreement.

3. Cancellations & Downgrades

• You may cancel at any time from your billing page; access continues until the end of the current billing period.
• Downgrades may limit or remove features or capacity immediately or at the next renewal.

4. Acceptable Use

You agree not to:

• Use the Service for spam, unlawful, deceptive, harmful, or abusive activities
• Reverse-engineer, decompile, scrape, or attempt security bypass or load testing without written consent
• Violate applicable laws including telemarketing regulations, TCPA, GDPR/CCPA, HIPAA (where applicable), and carrier and platform policies
• Share, resell, or sublicense your subscription access to other users or organizations

You are responsible for all content you upload, send, or generate via the Service.

5. AI & Automation Disclaimers

AI outputs can be inaccurate, incomplete, or unintended. You must review and validate all AI-generated content before relying on it or publishing it. You remain responsible for messaging compliance, opt-ins, disclosures, and all regulatory requirements applicable to your business.

5a. Chrome Extension — Etsy AI Optimizer

Extension Access

The MakeBox AI Chrome Extension ("Etsy AI Optimizer") is available to active subscribers. Access and AI features are granted as part of your subscription plan and remain active for the duration of your billing period.

AI Usage & Credits

MakeBox AI provides all AI-powered features through its own infrastructure — you are not required to obtain or pay for third-party AI API access separately. Your subscription includes a defined allocation of AI usage (tokens). If your usage exceeds the included allocation, additional tokens may be purchased through your MakeBox AI account at the rates listed on the pricing page.

Permitted Use

The extension is intended solely for use on the Etsy platform to assist with listing creation and optimization. You agree not to use the extension to generate misleading, infringing, or prohibited content in violation of Etsy's policies.

No Guarantee of Results

AI-generated content is provided as a suggestion only. MakeBox AI does not guarantee specific SEO rankings, sales results, or outcomes from using AI-optimized listing content. You remain solely responsible for reviewing and approving any content published to your Etsy shop.

Extension Updates

MakeBox AI may update, modify, or discontinue the Chrome Extension at any time. We will make reasonable efforts to notify users of significant changes via email or in-app notification.

Etsy Platform Compliance

You are responsible for ensuring that your use of the extension complies with Etsy's Seller Policy and Terms of Use. MakeBox AI is not affiliated with or endorsed by Etsy, Inc.

6. Third-Party Services

Integrations (telephony, email, social networks, payments, calendars, etc.) are provided by third parties subject to their own terms. We are not responsible for third-party outages, policy changes, or fees.

7. Uptime, Changes & Support

• Service availability may vary due to maintenance, updates, or provider issues.
• We may modify features, impose limits, or discontinue components with reasonable notice when feasible.
• Support scope and SLAs depend on your plan.

8. Intellectual Property

We and our licensors retain all rights to the Service, software, and content. You own your data and customer content; you grant us a limited license to host and process it solely to provide the Service. Logos, names, and trademarks are the property of their respective owners.

9. Feedback

If you submit ideas or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without obligation or compensation.

10. Publicity

We may reference your business name and logo as a customer in our marketing materials unless you opt out by emailing sales@makebox.ai.

11. Termination

We may suspend or terminate access immediately for violations of these Terms, non-payment, or legal risk. Upon termination, your right to use the Service ceases immediately. Sections 8, 12, 13, 14, and 15 survive termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKEBOX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold MakeBox AI harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your content, use of the Service, violations of law, or breach of these Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, unless otherwise required by law.

16. Changes to These Terms

We may update these Terms at any time. Material changes will be notified via the app, email, or website. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
